These Domain Name Registration and Management Terms (the "Agreement") are entered into by and between Oryon Networks Pte Ltd ("Oryon", "we", "us", or "our") and the entity or individual submitting the domain registration order ("Customer", "User", "you").
By registering, renewing, or transferring a domain name through Oryon, you agree to be bound by these terms, in addition to our Master Service Agreement (MSA) and the rules of the respective Top-Level Domain (TLD) Registry (specifically SGNIC for .sg domains).
1.1. Registration on Behalf of Customer You acknowledge and agree that for certain domain extensions or during provisional processing periods, Oryon may register the domain name using Oryon's own contact information (including, but not limited to, the Registrant Name, Admin Email, and Billing Contact) temporarily or permanently on your behalf.
1.2. Oryon as Registrant of Record In the event that you (the "Beneficial Owner") request Oryon to register a domain name using Oryon’s own contact information (specifically listing Oryon or its representatives as the "Registrant" or "Administrative Contact") to satisfy local presence requirements (the "Trustee Service"):
A. Nature of Appointment: You acknowledge that Oryon acts solely as a Trustee and Agent on your behalf. While Oryon may appear as the legal owner in the public WHOIS records, you retain full beneficial ownership rights to the domain name, subject to the terms of this Agreement.
B. License to Use: Oryon grants you an exclusive, non-transferable license to use the domain name for your website and email services for as long as the Trustee Service fees are paid and this Agreement is in force.
C. Immediate Termination Rights: You acknowledge that Oryon, as the Registrant of Record, bears strict liability under Singapore law for the domain's use. Therefore, Oryon reserves the right to immediately suspend, delete, or transfer the domain name without prior notice or refund if:
The domain is used for any illegal activity, spam, phishing, or violates our Acceptable Use Policy (AUP).
We receive a takedown notice from a government authority (e.g., SPF, CSA, SGNIC).
You fail to pay the renewal or Trustee Service fees by the due date.
D. Transfer of Legal Title: You may request to transfer the legal title (Registrant details) to yourself or another party at any time, provided you satisfy the Registry’s eligibility requirements (e.g., providing a valid Singapore NRIC or ACRA UEN). Oryon will facilitate this transfer upon payment of any applicable administrative fees.
1.3. Mandatory Verification for SGNIC (.sg) Domains For all Singapore country-code domains (including .sg, .com.sg, .per.sg, etc.), strict identity verification is required by the Singapore Network Information Centre (SGNIC).
5-Day Provisioning Window: If Oryon requests validation documents or accurate registrant details (e.g., NRIC/FIN or ACRA/UEN) to facilitate the transfer of legal title or to satisfy a Registry audit, you must provide these details within five (5) calendar days of the request.
Consequence of Failure: You acknowledge and accept that failure to provide these details within the 5-day window may result in SGNIC flagging the domain as "suspicious" or "unverified."
1.4. VerifiedID@SG & SingPass/CorpPass Requirement You acknowledge that SGNIC employs the VerifiedID@SG framework (or subsequent verification portals) to validate the identity of .sg domain registrants.
Direct Verification Duty: When required by SGNIC, you (the beneficial owner) must personally log in to the VerifiedID@SG portal using your SingPass (for individuals) or CorpPass (for businesses) to verify the domain registration. Oryon cannot perform this step on your behalf.
Strict Timeline: You must complete this verification immediately upon notification. Failure to complete the VerifiedID@SG process within the timeframe stipulated by SGNIC will result in the domain being suspended or deleted by the Registry.
2.1. General Indemnity You agree to defend, indemnify, and hold harmless Oryon Networks Pte Ltd, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:
Any problem, dispute, or liability occurring while Oryon is listed as the registrant.
The content hosted on the domain or any emails sent from the domain.
Claims of trademark infringement, copyright violation, or intellectual property disputes.
2.2. Indemnity for SGNIC Suspension You specifically agree to indemnify and hold Oryon harmless against any damages, loss of business, or legal repercussions resulting from SGNIC (or any other Registry) suspending, deleting, or locking your domain name due to:
Your failure to provide verification details within the mandatory 5-day period.
Your failure to complete the VerifiedID@SG / SingPass verification process.
The Registry’s determination that the domain contact information is invalid or that the domain is being used for suspicious activities.
Waiver of Claims: You expressly waive any right to claim damages against Oryon for the loss of a domain name that was suspended by SGNIC due to your delay or failure in providing required provisioning details or completing identity verification.
2.3. Indemnity for Registration Actions You further agree to indemnify Oryon against any claims arising from our specific action of registering the domain in our name first on your behalf. You waive any claim that Oryon has "squatted" or "hijacked" the domain by virtue of listing itself as the registrant during the provisioning process.
3.1. Accuracy of Data Even if Oryon acts as the proxy registrant, you warrant that the information you provide to us internally (your customer profile) is accurate, current, and complete.
3.2. Acceptable Use You represent and warrant that the domain name will not be used for:
Spamming or unsolicited mass emailing.
Phishing, malware distribution, or command-and-control (botnets).
Illegal activities under the laws of Singapore or the jurisdiction of the applicable Registry.
3.3. Suspension Rights Oryon reserves the right to immediately suspend, lock, or cancel any domain name—without refund—if:
We receive a complaint regarding the domain while we are the listed Registrant.
You fail to indemnify us or respond to legal inquiries regarding the domain.
You use the domain in violation of this Agreement.
4.1. Responsibility for Renewal Fees You acknowledge that it is your sole responsibility to ensure that all domain renewal fees are paid to Oryon before the expiration date of the domain name.
No Auto-Credit: Oryon is not obligated to renew any domain name where payment has not been successfully received and verified, regardless of any "auto-renewal" settings you may have enabled in your portal if the underlying payment method fails.
4.2. Late Renewal & Restoration Fees If you fail to renew the domain name by its expiration date, the domain may enter a "Redemption Grace Period" (RGP) as defined by the Registry.
Restoration Fee: You acknowledge and agree that once a domain enters this redemption state, standard renewal rates no longer apply. To recover the domain, you must pay a mandatory Domain Restoration Fee (also known as a Redeemable Fee) in addition to the standard renewal fee.
Variable Pricing: This fee is set by the Registry and Oryon, and is significantly higher than the standard registration price.
4.3. Pending Release & Loss to Third Parties If the domain name is not restored within the Redemption Grace Period, it will enter a "Pending Release" state and subsequently be deleted by the Registry.
Release to Public: Once deleted, the domain name becomes available for registration by the general public.
No Liability for Loss: You acknowledge that once a domain is released, it may be immediately registered by third parties, domain scalpers, or competitors. Oryon Networks Pte Ltd shall not be responsible for any legal responsibility, damages, or loss of business resulting from the domain being taken by others.
Waiver: You hereby waive any claim against Oryon for the permanent loss of a domain name resulting from your failure to pay the renewal or restoration fees on time.
4.4. No Refunds All fees paid for domain registration, renewal, restoration, and transfer are non-refundable once the transaction is processed with the Registry.
